These Terms & Conditions govern the use of the Soilo mobile application, website, products, and services operated by DDverse Initiatives Private Limited. By downloading, installing, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Description of Services
Soilo is an Environmental Intelligence and RegTech platform that provides:
- Soil health measurement and analysis via the Soilo Essence device
- Carbon MRV (Measurement, Reporting and Verification) tools
- ESG reporting, evidence management, and regulatory compliance features
- Agronomic recommendations based on soil data
- Ground intelligence analytics and field monitoring
- Filing and taxonomy management for environmental disclosures
The Soilo mobile application interfaces with the Soilo Essence hardware device and the Soilo web platform. Certain features require a paid subscription or device purchase.
3. Eligibility
You must be at least 18 years of age to create an account and use the Services. By registering, you represent that you meet this requirement. Users under 18 may access the Services only under the supervision of a parent or legal guardian.
4. Account Registration
To access the Services, you must create an account by providing accurate, current, and complete information. You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorised use of your account
Soilo shall not be liable for unauthorised account activity resulting from user negligence.
5. Subscription Plans and Payment
The App is available under the following commercial models:
- Soilo Essence Lifetime: a one-time payment for device and platform access
- Soilo Essence Subscription: device purchase plus a monthly per-user subscription fee
- Soilo Enterprise: organisation-level subscription billed monthly or annually
Payments are processed through PayU Payment Gateway. By making a payment, you agree to PayU's terms of service. All fees are non-refundable except as required by applicable law or as expressly stated in our refund policy.
We reserve the right to change pricing at any time. You will be notified of price changes with reasonable advance notice. Continued use of the App after a price change constitutes acceptance of the new pricing.
6. Product Orders
All orders for Soilo hardware devices are subject to:
- Availability
- Verification
- Payment confirmation
- Fraud prevention checks
Soilo reserves the right to reject, cancel, or limit any order.
7. Pricing
Prices displayed are subject to change without notice.
In case of pricing errors, Soilo may cancel affected orders and issue refunds where applicable.
8. Shipping & Delivery
Delivery timelines are estimates only. Soilo shall not be liable for delays caused by:
- Courier partners
- Weather conditions
- Government restrictions
- Force majeure events
Risk transfers to the customer upon successful delivery.
9. Returns
Eligible products may be returned within 15 calendar days of delivery in accordance with our Refund Policy.
10. 3-Year Free Replacement Warranty
All eligible Soilo devices include a 3-Year Free Replacement Warranty from the original purchase date.
Covered
Manufacturing defects and workmanship issues occurring during normal intended use.
Remedy
Upon approval, Soilo may provide:
- Free replacement unit
- Replacement component
- Equivalent replacement product
Exclusions
Warranty does not cover:
- Physical damage
- Water damage
- Misuse or accidents
- Unauthorised repairs or modifications
- Cosmetic wear
- Lost or stolen products
Proof of purchase may be required.
11. Intellectual Property
All content, software, algorithms, databases, interfaces, visual designs, trademarks, and technology within the Services, including but not limited to the Soilo platform architecture, carbon MRV methodology, and soil intelligence models, are the exclusive property of DDverse Initiatives Private Limited and are protected by applicable intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Services for your personal or internal business purposes. You may not copy, modify, distribute, sell, or reverse-engineer any part of the Services.
12. User Obligations and Prohibited Use
You agree to use the Services only for lawful purposes. You must not:
- Use the Services to transmit false, misleading, or inaccurate data
- Attempt to gain unauthorised access to any part of the Services or its infrastructure
- Use the Services to violate any applicable law or regulation
- Interfere with or disrupt the operation of the Services or its servers
- Use automated tools to scrape, crawl, or extract data without written permission
- Resell or sublicense access to the Services without a written reseller agreement with the Company
- Use the Services to generate fraudulent carbon credit claims or misrepresent environmental data
- Commit fraud, abuse warranty programmes, or introduce malicious code
13. Data and Content
You retain ownership of all data you input into the Services, including soil measurement data, field records, and ESG datapoints ("User Data"). By using the Services, you grant the Company a limited licence to process, store, and use your User Data solely to provide and improve the services.
You represent that you have all necessary rights and permissions to input User Data and that doing so does not violate any third-party rights.
All carbon estimates, recommendations, and analytics generated by the Services are clearly labelled as to their data source and confidence level. Screening-grade estimates are labelled "indicative" and are not a substitute for registry-certified carbon credit assessments.
14. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, express or implied. The Company does not warrant that:
- The Services will be uninterrupted, timely, secure, or error-free
- Any results obtained will be accurate or reliable for any specific purpose
- Soil measurements will meet any particular certification or regulatory standard
- Carbon estimates will be accepted by any registry or regulatory body
Agronomic recommendations are general in nature and should not replace the advice of a qualified agronomist for specific farming decisions.
15. Limitation of Liability
To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, including but not limited to loss of profits, data, or goodwill.
The Company's total liability to you for any claim shall not exceed the amount paid by you to the Company in the twelve months preceding the claim.
16. Indemnification
You agree to indemnify, defend, and hold harmless DDverse Initiatives Private Limited and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Services, your violation of these Terms, or your infringement of any third-party rights.
17. Termination
The Company may suspend or terminate your account at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to the Company, its users, or third parties.
You may terminate your account at any time by contacting us at soilo@ddverse.in. Upon termination, your right to use the Services ceases immediately. Data retention post-termination is governed by our Privacy Policy.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to arbitration under the Arbitration and Conciliation Act, 1996, with proceedings conducted in English in India.
Nothing in this clause prevents either party from seeking urgent injunctive relief from a competent court. For general disputes, the courts of Noida, Uttar Pradesh, India shall have jurisdiction.
19. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes through the App or by email. Your continued use of the Services after the effective date of any changes constitutes acceptance of the revised Terms.
