1. Introduction

These Terms and Conditions govern your use of the Soilo website at www.soilo.in and the purchase of any products or services offered by DDverse Initiatives Pvt. Ltd. ("Soilo", "we", "our", "us"). By accessing our website or placing an order, you agree to be bound by these terms. Please read them carefully before proceeding.

3. Products and Services

Soilo offers the following products and services:

3.1 The Soilo Device -- a portable 16-parameter soil testing instrument sold on a one-time purchase basis at Rs. 16,000 per unit.

3.2 Annual Sensor Recalibration and Software Upgrade -- an optional annual service at Rs. 6,000 per year to maintain sensor accuracy and update device firmware.

3.3 Soil Intelligence Dashboard -- a cloud-based software subscription at Rs. 4,000 per month providing AI-powered soil recommendations, trend analysis, multi-plot management, and report generation.

3.4 SoiloRx Fertilizer Prescription -- included with the Soil Intelligence Dashboard at no additional charge.

3.5 Field Services -- including Organic Field Trial Management, Organic Input Protocol Design, Soil to Quality Correlation Reports, Organic Sourcing Compliance Documentation, and Cluster Soil Monitoring Retainers, delivered at rates described in our Offerings Document.

3.6 Soilo Agripreneurs Program -- a micro-entrepreneurship programme with terms communicated separately at the time of onboarding.

4. Orders and Payment

4.1 All prices are listed in Indian Rupees (INR) and are exclusive of applicable GST unless stated otherwise.

4.2 Orders for the Soilo Device and field services are confirmed only upon receipt of full or agreed advance payment.

4.3 Dashboard subscriptions are billed monthly. Access continues as long as the subscription is active and payments are current.

4.4 Soilo reserves the right to revise pricing with reasonable notice. Existing confirmed orders will be honoured at the price at time of confirmation.

4.5 Payment can be made via bank transfer, UPI, or any other method confirmed by the Soilo team at the time of purchase.

5. Delivery

5.1 Soilo devices are shipped to the address provided at the time of order. Delivery timelines will be communicated at the time of order confirmation.

5.2 Risk of loss and title pass to the buyer upon dispatch from our facility.

5.3 Soilo is not responsible for delays caused by courier partners, customs, or circumstances outside our control.

5.4 For field services, delivery timelines and visit schedules will be agreed upon separately in writing.

6. Device Accuracy and Limitations

6.1 The Soilo device is calibrated against NABL-accredited laboratory results and is accurate to within 5 to 8 percent of lab values for most parameters under standard field conditions.

6.2 Soilo device readings are intended for farm management decision support and should not be used as the sole basis for regulatory, legal, or export certification submissions without additional laboratory verification.

6.3 Accuracy may vary based on soil type, probe insertion technique, temperature extremes, and device maintenance. Annual recalibration is strongly recommended.

6.4 Soilo is not liable for crop losses, yield shortfalls, or financial damages arising from decisions made based on device readings.

7. Intellectual Property

7.1 All content on www.soilo.in including text, images, product designs, software, AI models, and branding is the property of DDverse Initiatives Pvt. Ltd. and is protected under applicable Indian intellectual property laws.

7.2 You may not copy, reproduce, distribute, or commercialise any Soilo content without prior written permission.

8. Data and Privacy

8.1 Soil test data collected through the Soilo device and dashboard is stored securely and used to improve AI recommendations and build Soilo's national soil intelligence database.

8.2 Individual farmer data is never sold to third parties. Aggregated, anonymised soil data may be used for research, policy, and publication purposes.

8.3 By using Soilo products and services, you consent to data collection as described in our Privacy Policy.

9. Limitation of Liability

9.1 Soilo's total liability to any customer for any claim shall not exceed the amount paid by that customer for the product or service giving rise to the claim.

9.2 Soilo is not liable for indirect, consequential, or incidental losses including loss of crop yield, income, or business opportunity.

10. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Noida, Uttar Pradesh.

11. Changes to These Terms

Soilo reserves the right to update these Terms at any time. Updated terms will be posted on this page with a revised date. Continued use of our products or website after changes constitutes acceptance.
